Godrej Empire Split After 127 Years old Conglomerate: Public Companies vs. Unlisted Businesses
The Godrej Group, established 127 years ago and involved in diverse sectors including soaps, home appliances, and real estate, has decided to divide the conglomerate.
Adi Godrej and his brother Nadir will retain control over Godrej Industries, comprising five publicly listed companies such as:
- Godrej Consumer Products Limited (GCPL): Manufactures and sells home care, personal care, and hygiene products.
- Godrej Properties Limited: Develops, builds, and sells residential and commercial properties.
- Godrej Agrovet Limited: Operates in animal feed, agri-inputs, and palm oil businesses.
- Huhtamaki-PPL Limited: Manufactures moulded fibre packaging products.
- Astec Lifesciences Limited: Engaged in pharmaceutical formulations and nutraceuticals businesses.
On the other hand, cousins Jamshyd and Smita will take ownership of unlisted entities such as Godrej & Boyce and its affiliates, along with a substantial land bank that includes valuable property in Mumbai.
Godrej Family Divides Business Leadership
Jamshyd Godrej is set to lead both as chairperson and managing director of the Godrej Enterprises Group, overseeing its various sectors including aerospace, aviation, defense, furniture, and IT software. Joining him in a leadership role will be Nyrika Holkar, who will serve as executive director and is the daughter of his sister Smita. The family will collectively manage this branch, including its substantial land assets totaling 3,400 acres in Mumbai.
Meanwhile, Nadir Godrej will assume the chairperson role for the Godrej Industries Group, which includes publicly traded entities like Godrej Industries, Godrej Consumer Products, Godrej Properties, Godrej Agrovet, and Astec Lifesciences. Control over this group will be maintained by Adi and Nadir, along with their immediate families.
Additionally, Pirojsha Godrej, son of Adi, will serve as the Executive Vice Chairperson of GIG, with plans to succeed Nadir as Chairperson in August 2026.
Godrej Family Restructures Ownership for Growth
The Godrej family describes the division as a “restructuring of ownership” of shares in the Godrej companies. They highlight that this restructuring has been carried out with sensitivity and consideration to maintain unity and accommodate the varying perspectives within the family. Currently, Adi chairs the Godrej Group, while Nadir oversees Godrej Industries and Godrej Agrovet, and Jamshyd manages the unlisted Godrej & Boyce Manufacturing company. Jamshyd, along with Smita Crishna and Rishad Godrej, holds the majority stake in the Vikhroli property.
A restructuring within the Godrej Enterprises Group (GEG), encompassing Godrej & Boyce and associated entities, sees Jamshyd Godrej assuming leadership as Chairperson and Managing Director, with Nyrika Holkar joining as Executive Director, representing their respective families.
On the other hand, the Godrej Industries Group (GIG), which includes various entities like Godrej Industries, Godrej Consumer Products, Godrej Properties, Godrej Agrovet, and Astec Lifesciences, will be led by Nadir Godrej as Chairperson. Adi and Nadir, along with their immediate families, will wield control over GIG.
Pirojsha Godrej is set to become the Executive Vice Chairperson of GIG, slated to take over as Chairperson in August 2026, as per the statement.
